Nottingham Bach Choir Constitution
Constitution following EGM held 10/1/2006
1 TITLE The name of the Society shall be the Nottingham Bach Choir, hereinafter referred to as The Choir. The Choir is a registered charity, No 508139.
2 OBJECTS The objects of the Choir shall be to educate the public in the Art and Science of Music, in the presentation of concerts and other activities. A particular object shall be the study and performance of the music of J.S. Bach and his contemporaries.
3 MEMBERSHIP a The Members of the Choir shall be those persons who pay the annual subscription at the appropriate rate or rates as shall be determined by the Committee, the subscription being payable in advance. Performing members shall provide such evidence of musical ability as the Committee may require. b All performing members will be expected to be regular in attendance at rehearsals and concerts. c The annual subscription shall be due for payment in September of each year; payment may be spread over the course of a season. No member whose subscription is unpaid may perform in a concert.
4 OFFICERS AND COMMITTEE a The Management of the Choir shall be in the hands of a Committee consisting of no fewer than 6 but no more than 10 members. b At each Annual General Meeting of the Choir a Chairperson, Treasurer and Secretary shall be elected together with as many further members of the Choir as shall stand and be elected to the Committee by the Choir up to the maximum number set out in a above. c The Committee shall have power to regulate its own meetings as it shall see fit and may co-opt onto the Committee any member of the Choir to serve until the next Annual General Meeting PROVIDED THAT the maximum number of members shall not be exceeded. d All applicants for the Committee shall be proposed and seconded at the Annual General Meeting by members of the Choir. e The quorum of the Committee shall be 5.
5 MANAGEMENT All the arrangements for the concerts and other events, and the control of finance shall be in the hands of the Committee who shall meet no fewer than five times every year.
6 FINANCE a The financial year shall end on 31st July in each year.
b A banking account or accounts shall be continued at a bank or banks chosen by the Committee in the name of the Choir, any change of bank to be intimated to the Choir at the Annual General Meeting. The Honorary Treasurer shall be authorised to sign any one cheque up to the value of £100, but any cheque exceeding this amount must bear the signatures of two of the Chairperson, the Honorary Treasurer and the Honorary Secretary. c The Choir may receive donations, grants in aid and financial guarantees. Tickets for any or all of its concerts and other events may be offered for sale to the public. d The Income and Property of the Choir wheresoever derived shall be applied solely to promoting the objects of the Choir as set forth above and no portion thereof shall be paid or transferred either directly or indirectly to any member or members of the Choir except in payment of legitimate expenses incurred on behalf of the Choir. e In the event of the winding up or dissolution of the Choir, any remaining assets after all the liabilities have been discharged shall not be paid or transferred to any member of the Choir but shall be transferred to a charitable organisation whose objects are similar to those of the Choir and whose rules preclude the distribution of income and assets to its members.
7 GENERAL MEETING Every year an Annual General Meeting shall be held, for which at least fourteen days notice in writing shall be given.
8 AUDITED ACCOUNTS A Financial statement shall be given to the Members at the Annual General Meeting. The Audited Accounts shall be submitted to the members at an Extraordinary General Meeting in the autumn of each year and a copy shall be sent to the Charity Commissioners in accordance with existing regulations.
9 AMENDMENTS The Constitution may be amended by a two-thirds majority of the members present at an Annual or Special General Meeting, provided that fourteen days notice of the proposed amendment has been sent to all members and provided also that nothing therein contained shall authorise any amendment which shall have the effect of the Choir ceasing to be a Charity.
